A proper acquisition review should consider four separate areas: the operating business, the commercial real estate, the car wash equipment and infrastructure, and the near-term and future capital requirements.
Two car washes generating similar annual revenue may represent very different investments. One property may include valuable commercial land, a newer building and recently upgraded equipment. Another may operate from leased premises and require substantial equipment replacement after closing.

A self-serve car wash normally includes several wash bays where customers operate pressure-washing equipment and select their desired wash functions.
Before buying a self-serve car wash, buyers should review the number and dimensions of bays, coin and card payment systems, pumps, boilers, water-heating equipment, water softeners, overhead doors, floor heating, drainage systems, chemical delivery systems, vacuums, equipment-room configuration, freeze-protection systems and water-reclaim equipment. In an in-bay automatic car wash, the customer’s vehicle normally remains stationary while wash equipment moves around it. Systems can include touchless automatic, soft-touch or friction, and hybrid systems.

A tunnel may theoretically process a high number of vehicles per hour, but poor site configuration or insufficient stacking can limit its actual operating capacity.

A car wash can also operate as an important component of a larger fuel-retail property. A gas station with a car wash for sale in Ontario may generate revenue from fuel sales, convenience-store sales, car wash sales, food service, lottery, ATM, propane, vacuums, air pumps, rental income and other ancillary services.

How to Evaluate a Car Wash Business for Sale
Verify Car Wash Sales
Start with gross revenue, but do not stop there. Where records are available, compare reported car wash sales against POS reports, wash counts, merchant statements, bank deposits, cash collection records, monthly sales reports, average ticket, wash-package sales and membership revenue.
The objective is to understand how the reported revenue was actually produced. For example, if annual revenue increased significantly, determine whether the increase came from more vehicles, higher pricing, new memberships, improved wash packages, longer operating hours or equipment upgrades. That distinction can matter when projecting future performance.
Review Several Years of Performance
Car wash sales can fluctuate because of weather, road salt, construction, equipment downtime, pricing changes, competition, economic conditions and marketing programs. Review monthly results across several years where available. Annual totals alone can hide seasonal variation or temporary operating problems.
Calculate Revenue Per Wash
Where wash-count information is available, calculate:

Municipal discharge requirements can vary by location, so the applicable municipality should be consulted during due diligence.
Car Wash Equipment Due Diligence
Major car wash equipment can represent a substantial portion of the investment. Prepare a complete equipment inventory covering items such as the automatic wash system, tunnel or conveyor, pumps, boilers, water heaters, water softeners, reclaim systems, compressors, vacuums, dryers, chemical systems, payment terminals, control equipment, doors, security systems and POS equipment.
For each major component, determine: Manufacturer → Model → Age → Ownership → Condition → Service History → Estimated Replacement Requirement

Confirm Who Owns the Equipment
Not every piece of equipment located at the property is necessarily owned by the seller. Some items may be leased, financed, supplier-owned, subject to service contracts, subject to software agreements or under equipment financing.
Confirm which assets will transfer free and clear on closing. Also review whether warranties, payment-processing agreements, software licences and equipment-service arrangements can be assigned to the buyer.
Property Access, Traffic and Vehicle Stacking
A car wash is both a business and a vehicle-processing property. Traffic count can be important, but access and circulation can be equally important. Review road frontage, visibility, signage, entrance locations, exit locations, left-turn access, right-turn access, vehicle stacking, tunnel approach, bay configuration, vacuum areas, parking, snow-storage areas and traffic conflicts with other businesses on the site. A property on a busy road can still underperform if entering or exiting the site is difficult.
Ontario Winter Car Wash Operations
Ontario winters create operating conditions that should be specifically considered when buying a car wash. Review building heating, floor heating, water-line protection, bay doors, boiler capacity, drainage, freeze protection, equipment reliability, snow storage and winter access.
Road salt, slush and winter driving conditions can produce strong periods of demand, but equipment reliability becomes particularly important during cold-weather peaks. A system that regularly shuts down during the coldest periods can lose revenue precisely when customer demand is strongest.
Zoning and Future Expansion
Confirm the existing car wash use with the applicable municipality. An operating car wash does not automatically mean every proposed change will be permitted.

In a business-only purchase, the buyer acquires the operating business and specified assets without buying the underlying land and building. The lease therefore becomes one of the most important assets.
Review the remaining lease term, renewal options, rent increases, additional rent, TMI/CAM obligations, permitted use, assignment provisions, maintenance responsibilities, equipment responsibilities and demolition or redevelopment provisions.
A profitable business with a weak remaining lease term may have a very different risk profile from the same operation with secure long-term occupancy.

Financing a Car Wash Purchase in Ontario
Financing depends substantially on the structure of the acquisition. A purchase involving commercial land and a building may be evaluated differently by lenders from a business-only acquisition where much of the price relates to equipment and goodwill.
Lenders may request the purchase agreement, financial statements, corporate tax returns, property information, appraisal, environmental reports, equipment lists, buyer net-worth information, source of down payment, business plan or projections and lease information. When reviewing an Ontario car wash opportunity, I do not start by asking whether the asking price looks reasonable. I separate the acquisition into four areas:
Real Estate: Land, building, zoning, access, environmental history, servicing and future use.
Operating Business: Revenue, wash volume, margins, utilities, memberships, expenses and historical performance.
Equipment: Age, manufacturer, ownership, condition, service history and replacement requirements.
Capital Requirements: What may need to be repaired, upgraded or replaced during the first several years after closing.
I then compare the records against one another.
